ABIS - SERVICE AGREEMENT


This Agreement explains the conditions for using ABIS services by the Instructor in the context of content management within ABIS. This Agreement will enter into force upon acceptance by the Instructor online, and the Instructor acknowledges, declares and undertakes that the use of the services within the scope of ABIS (“Service”) is subject to the terms and conditions contained in this Agreement and its annexes.


A. RIGHTS AND OBLIGATIONS OF THE PARTIES


From any content that instructors post, including lectures, quizzes, coding exercises, practice tests, assignments, resources, answers, course landing page content, hands-on exercises, assessments, and announcements ("Submitted Content"); responsible in accordance with all legal regulations.

Instructor accepts, declares and undertakes the following terms of service:

You will provide and protect correct membership-personal information;

You have the necessary licenses, rights, consents, permissions and authorization to authorize ABIS to use your Submitted Content as set forth in these Terms and the Terms of Use;

Your Submitted Content will not infringe or abuse the intellectual property rights of any third party;

You have the necessary qualifications, certifications and expertise, including the education, training, knowledge and competency group necessary to provide training and provide the services you offer through your Submitted Content and use of the Services; and

You assure that you will provide service quality in line with the standards of your industry and teaching services in general.

You assume full legal responsibility when any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, inaccurate, infringing, defamatory or libelous content or information is posted or provided;

Unsolicited or unauthorized advertising, promotional material, junk mail, spam or commercial or other solicitations may not be sent through the Services or to any User,

Not to use the Services for any business other than providing private tutoring, education and training services to students,

limit the Services or embed the free version of a course or misuse the Services.

represent another person or gain unauthorized access to another person's account;

Interfere with or otherwise hinder other Instructors from providing their services or content

Not to misuse ABIS resources, including support services.

The Trainer accepts, declares and undertakes that there is no employee-employer, partnership, contractor or agency relationship between them and ABIS and the Operating Company.

Transfers to ABIS the rights described in the Terms of Use for the purposes of presenting, marketing or otherwise using your Submitted Content to ABIS. These rights include the right to add captions or change content for accessibility. You also authorize ABIS to sublicense these rights to your Submitted Content directly to students and to third parties, including through third parties such as resellers, distributors, partner sites, offer sites, and paid advertisements on third party platforms.

You have the right to remove all or part of your Submitted Content from the Services at any time, unless otherwise agreed. Except as otherwise agreed, ABIS' right to sublicense rights in this section will terminate for new users 60 days after the Submitted Content is removed. However, (1) the rights granted to students prior to the removal of the Submitted Content continue under the terms of these licenses (including the lifetime access right), and (2) ABIS's right to use such Submitted Content for marketing purposes continues after termination.

We may record and use all or any portion of your Submitted Content for the purposes of delivering, marketing, promoting, displaying, or operating and quality control services. to ABIS your name, photo, picture, image or voice; The Services permit you to use the Services in connection with the offering, delivery, marketing, promotion, display, and sale of your Submitted Content or ABIS content, and you waive all privacy, publicity, or other rights of a similar nature to the extent permitted under applicable law.

META DERSHANE reserves the right to remove content, suspend payments and/or block instructors for any reason and at any time, without prior notice, including:

Instructor or content does not comply with our policies or legal terms (including Terms of Use);

Content falls short of our quality standards or has a negative impact on the student experience;

When an instructor demonstrates an unpleasant behavior in ABIS or defame ABIS in the eyes of the public, show disrespect to ABIS, cause a scandal with ABIS, or make fun of ABIS;

When the Instructor has to do with the services offered by a marketer or business partner that violates ABIS' policies;

uses the Instructor Services in a way that creates unfair competition (e.g., promoting their work off-site in violation of ABIS policies); or

As ABIS decides in its sole discretion.

The ABIS platform allows you to add other users as co-teachers or teaching assistants to the Submitted Content you manage. By adding a co-instructor or teaching assistant, you agree that you authorize them to take certain actions that will affect your ABIS account and your Submitted Content. Violations of ABIS terms and policies by your co-instructors or teaching assistants may affect your ABIS account and your Submitted Content. ABIS cannot mediate or advise on any disputes between you and such users. If there is a revenue share assigned to your co-instructors, their share will be paid out of the revenue share you earn according to the rates you set in the Course Management settings as of the date of purchase.

Instructors have no direct contractual relationship with students; therefore, the only information you will receive about students will be the information available to you through the Services. You agree that you will not use the information you obtain on the ABIS platform for any purpose other than providing your services to these students, and that you will not request additional personal information outside of the ABIS platform, reach people in any way, or keep the personal information of students. You agree to indemnify ABIS for any and all damages from claims arising from your use of students' personal data.

The instructor acknowledges that students are entitled to a refund. Instructors do not earn revenue for transactions refunded under the Terms of Use. If a student requests a refund after ABIS has paid the respective instructor, we reserve the following rights:

deduct the refund amount from the next payment to the instructor, or (

ask the instructor to cover the amount of the student reimbursement for their Submitted Content if there are no further payments to the instructor, or if the payments are not sufficient to cover the amounts reimbursed.



B. PAYMENTS


When a student purchases your Submitted Content, we calculate the gross amount of the sale as the original amount received from the student by ABIS ("Gross Amount"). To calculate the net amount of the sale ("Net Amount"), all Transaction Taxes, all mobile platform fees applied to sales paid with the mobile service provider, 3% service and processing fee for all sales made from sales paid with non-mobile service providers, and third parties We deduct all payments made from this amount.


If you do not choose to participate in ABIS's optional Promotional Programs, and excluding sales made via instructor-generated coupon codes or course referral links as described below, your revenue share will be 37% of the Net Amount after applicable deductions such as student refunds have been applied. If we change this payment rate, we will notify you by a prominent means, such as by sending you a 30-day notice via email or posting an announcement through our Services.


C. OTHER PROVISIONS


These ABIS Terms of Use come into effect indefinitely from the start of the USER's membership. Istanbul Çağlayan Courts are in charge and authorized in disputes arising from this Agreement.
